HSBC Faces Shareholder Vote on Proposed Business Split

HSBC, a major global bank with a focus on Asia, is encountering a shareholder vote on a proposal from its largest stakeholder, Ping An, advocating for the separation of the business to enhance returns. The vote is set to take place during the annual general meeting in Birmingham, central England, on Friday.

Despite the recent surge in quarterly net profit announced by the London-based bank, boosted by rising interest rates and its rescue of the UK arm of Silicon Valley Bank, Ping An contends that HSBC lags behind its international counterparts. According to Ping An, the bank’s improved performance is tied to increasing interest rates, which it believes have reached their peak.

This proposal comes in the context of global central banks making decisions on interest rates. The US Federal Reserve hinted at a potential pause in its policy of raising borrowing costs to address elevated inflation. Simultaneously, the European Central Bank delivered a smaller interest rate hike, acknowledging the impact of higher borrowing costs while expressing the need to address rising prices.

Michael Huang, Chairperson and CEO of Ping An Asset Management, emphasizes the necessity for HSBC to pursue structural reform to address underlying market competitiveness issues. Ping An proposes a “strategic restructuring,” envisioning the creation of a separately listed bank headquartered in Hong Kong while allowing HSBC to retain control over a distinct Asia-focused business.

Huang contends that HSBC’s management has overstated the costs and risks associated with the proposed split. HSBC, like many major banks, canceled dividends early in the COVID-19 pandemic, following guidance from the Bank of England. This decision, which displeased some Hong Kong investors, has led certain retail investors to support Ping An’s spin-off proposal. The outcome of the shareholder vote will shape the bank’s strategic direction amid these competing perspectives.
