Exploring CSR Certification and Legislation for Dutch Enterprises

In the landscape of corporate social responsibility (CSR), numerous Dutch companies are incorporating the impact on people, the environment, and society into their business operations. Companies demonstrate their CSR commitment through various private codes, certifications, and potentially, future legal structures. This article provides an overview of the avenues for CSR engagement available to Dutch companies, including B Corporation certification, Social Enterprise NL membership, adherence to the Social Enterprises Code, and considerations for the future Social Private Limited Liability Company (BVm).

  1. B Corporation Certification:

B Corporation (B Corp) certification, a private certification by B Lab, signifies a company’s dedication to CSR. To obtain this certification, companies undergo an assessment and must incorporate specific provisions into their Articles of Association that emphasize a positive societal and environmental impact. B Corp certification requires companies to consider various stakeholders and their long-term interests in business decisions. Certification is renewed every three years following a reassessment.

  1. Social Enterprise NL Membership:

Companies may join Social Enterprise NL, a network that fosters social enterprises in the Netherlands. This network endorses the European Commission’s definition of a social enterprise and offers support and resources to businesses focused on a social mission. Membership criteria include having a clear revenue model and a social mission, and companies must also follow recommendations for their Articles of Association reflecting their commitment to social goals.

  1. Adhering to the Social Enterprises Code:

The Social Enterprises Code sets out principles for companies with a social mission. Compliance with the code involves specific requirements for Articles of Association and a commitment to principles like mission, stakeholder engagement, and transparency. Companies adhering to this code can register in the Register of Social Enterprises and undergo a peer review process every two years.

  1. Obtaining a Social Business Performance Ladder Label:

The Social Business Performance Ladder (PSO) by TNO assesses a company’s contribution to employing vulnerable groups in the labor market. Companies can apply for a PSO label, demonstrating their level of social entrepreneurship. The label is valid for two years, after which a reevaluation is required.

  1. CSR Performance Ladder Label:

The CSR Performance Ladder is a certification based on internationally recognized guidelines. Companies seeking this label must have a CSR management system in place, audited by a registered certification body. Certifications are available at varying levels, each valid for different durations.

The Future of Social Private Limited Liability Company (BVm):

The Dutch government has taken initial steps towards creating a statutory basis for the BVm. This new legal form will allow companies to prioritize social impact over profit distribution. Proposed regulations would mandate that the majority of profits be used to further the social purpose of the BVm. The legal process for establishing a BVm includes a declaration by the directors and compliance with legislative requirements, with the status recorded in the Trade Register.

Conclusion:

Dutch companies have several mechanisms to align with CSR practices, ranging from private certifications to potential future legal forms like the BVm. These options provide pathways for companies to integrate social responsibility into their core operations and communicate their commitment to broader societal and environmental goals.
