Health Care Service Corporation (HCSC) announced a significant development on Wednesday, revealing its acquisition of Cigna’s Medicare business for $3.7 billion. As part of this transaction, HCSC, the largest customer-owned health insurer in the United States, will gain control of Cigna’s Medicare Advantage, Supplemental Benefits, and Part D customers. Additionally, the deal includes the CareAllies business, which collaborates with healthcare providers.

Cigna’s Medicare plans currently provide coverage for more than 3.6 million individuals, with 2.5 million enrolled in Medicare Part D plans, according to a news release from Health Care Service.

A noteworthy aspect of the agreement involves Chicago-based Health Care Service’s commitment to having Cigna’s Evernorth Health Services unit manage pharmacy benefits for a duration of four years.

HCSC’s CEO, Maurice Smith, emphasized the potential advantages of the acquisition for the company and its members, citing an expanded range of product offerings, robust clinical programs, and a broader geographic reach.

On Cigna’s side, executives based in Bloomfield, Connecticut, positioned the sale as a strategic move aimed at delivering value to shareholders and enhancing customer service. Cigna’s Chairman and CEO, David Cordani, explained that while the overall Medicare space remains attractive, sustained investment, focus, and dedicated resources are required for their Medicare businesses, which are proportionately smaller within The Cigna Group’s portfolio.

It’s worth noting that earlier reports in November hinted at Cigna exploring a cash-and-stock deal with Humana, a scenario that did not materialize.

The acquisition deal with Health Care Service is anticipated to conclude in the first quarter of 2025. Cigna’s shares experienced a 0.67% increase on the day of the announcement.
