GXO Logistics has submitted a formal offer to acquire Wincanton, entering into competition with CMA CGM, which had previously increased its offer for the logistics company earlier in the week of 26 February 2024. This development follows an agreement between Wincanton and Bidco, a subsidiary of CEVA Logistics, which is in turn a subsidiary of CMA CGM, for a recommended cash offer that Logistics Manager reported in January 2024.
The initial agreement proposed a purchase price of £4.50 per Wincanton share, valuing the company at approximately £566.9 million, with an enterprise value of around £764.9 million. Bidco later revised its offer to £4.80 per share, terming it as “increased and final,” with a stipulation that it would not raise the offer unless a third-party bid emerged.
Subsequent to this final offer by Bidco, Wincanton announced it had been approached by a potential competing bidder, which was later revealed to be GXO following media speculation. GXO’s bid, announced on 29 February 2024, proposes £6.05 in cash for each Wincanton share, significantly surpassing Bidco’s offer.
GXO’s board has expressed that acquiring Wincanton would not only strengthen its global position as a leading contract logistics provider but also expand its UK and Ireland market presence, enhancing customer service capabilities and driving long-term shareholder value. The company sees the merger as a strategic and financially beneficial move, tapping into the structural growth opportunities within the UK and Ireland.
Malcolm Wilson, CEO of GXO, praised Wincanton’s industry expertise and customer relationships, noting that the merger would combine GXO’s global reach and technological capabilities with Wincanton’s local market expertise. Wilson highlighted GXO’s commitment to the UK market and its track record of successful business integrations, emphasizing the potential for job creation and community benefits. He stated that the merger would result in significant value for shareholders, customers, and employees of both companies.
